Centro de Ayuda, Inc. is constituted as a not-for-profit educational organization, whose primary purpose is to serve as a center for cultural awareness and exchange, offering multicultural referral for emergencies, education, daily living and community interaction.
  1. The name of this organization is Centro de Ayuda, Inc.
  2. Throughout these By-Laws, the term “Ayuda” shall be taken to mean “Centro de Ayuda, Inc.”
  3. Throughout these By-Laws, the term “Board” shall be taken to mean the Board of Centro de Ayuda as defined in the By-Laws.
  1. Any person, who accepts the objectives of Ayuda as defined in the Statement of Purpose, and who pays the requisite dues, may become a member of Ayuda. Membership is offered to individuals and organizations supporting the purpose of Ayuda.
  2. Membership in Ayuda is open to any individual regardless of nationality, race, gender, creed or age.
  3. The Board shall regulate the amount of the dues.
  4. Each member shall have the right to vote for all officers of Ayuda.
  1. The Board shall consist of no more than fifteen directors. The board shall govern the affairs of Ayuda between Annual meetings of the Membership. Each director shall one vote.
  2. The officers of the board shall consist of President, Vice-President, Secretary, and Treasurer, each of whom shall be appointed by the Board of Directors.
  3. The President shall serve for one year and shall preside at the Annual Meeting of the Membership. The President shall be an ex-officio member of all Ayuda committees, standing or temporary, except the Nominating Committee. No President shall be elected for more than three consecutive terms as President.
  4. The Vice President shall serve for one year and shall assist the President. In the absence or incapacity of the President, the Vice-President shall assume all duties of the President. No Vice-President shall be elected for more than three consecutive yeas as Vice-President.
  5. The Secretary shall serve for one year and be responsible for corporate minutes, all requisite correspondence and other matters delegated to the Secretary by the President. No Secretary shall serve for more than three consecutive years as Secretary.
  6. The Treasurer shall serve for one year and receive all monies on behalf of Ayuda, depositing same in account or accounts in the name of Centro de Ayuda, Inc. The treasurer shall pay or cause to be paid all obligations when due, and shall prepare or cause to be prepared and annual budget. No Treasurer shall serve for more than three consecutive years as Treasurer.
  7. The Treasurer may delegate, with the concurrence of the Board, any of the day-to day duties of the Treasurer to the Manager of the Centro de Ayuda office. In such event the Treasurer shall nevertheless retain the responsibility for assuring that such duties are promptly and accurately carried out.
  8. The directors of Ayuda shall each serve for two years, with seven directors being elected each year. Any individual member shall be eligible to be a Board member.
  9. The board shall supervise the functioning of Ayuda subject to the By-Laws. The board may establish regulations and procedures for the conduct of its duties.
  10. All newly elected officers shall assume office immediately after the close of the Annual Meeting during which the election was held.
  1. Weekly membership meetings shall be held on Tuesday mornings at 8:00 at the offices of Centro de Ayuda. These meetings shall remain open to the public.
402. Board meetings shall be held at 6:30 on the third Monday of each month at the office of Centro de          Ayuda with the exception of the December meeting.
403. The annual meeting shall be held the second Monday in December at 6:30 p.m. at the Ayuda office.
  1. A regular meeting of the board of directors shall be held without other notice than this bylaw immediately after the Annual Meeting.
  2. Special meetings of the Board of Directors may be called by or at the request of any board officer. Such a meeting may be held by telephone.
  3. A quorum shall consist of no less than three board members.
  4. Decisions shall be reached by consensus.

  1. Centro de Ayuda shall maintain its checking account at U.S. Bank, Yaquina Bay Branch.
  2. Authorized signatures on account at the bank shall be any two of the following: Office Manager, President, Treasurer.
  1. The by-laws may be amended at any regularly scheduled board meeting.
  2. A by-law may be amended by a vote of the board providing there is a quorum. A quorum shall consist of at least three board members.
